Inledning

WoW4 Limited (under vår World of webbhotell Brand) har skapat denna Användningspolicy (AUP) värd för kunder att skydda våra resurser och resurser för våra kunder och peering nätverk för att ge ett höghastighetståg, hög tillgänglighet tjänster och att se till att WoW4 Limited (WoW4) uppfyller alla tillämpliga brittiska lagar. Detta AUP kan revideras, utan förvarning, när som helst efter eget gottfinnande WoW4. Slutförande av den relevanta ansökningsblanketten, eller ansluta till tjänsten för första gången, anses vara en överenskommelse om att våra allmänna villkor och detta AUP.

I händelse av en överträdelse av denna policy, WoW4 förbehåller sig rätten att säga upp hela eller delar av en tjänst med omedelbar verkan, utan ersättning, och ta bort alla filer som hölls på våra servrar.

Efterlevnaden av brittisk lag

Det är ett brott enligt brittisk lag för överföring, mottagning eller lagra vissa typer av filer.

Kunderna får inte använda våra tjänster för att bedriva verksamheter eller förvara, överföra eller ta emot material av ett oanständigt, stötande eller på annat sätt olaglig natur. En sådan verksamhet kan leda till åtal av de brittiska myndigheterna enligt gällande kriminella handlingar, inklusive men inte begränsat till datorn Missbruk Act 1990, till skydd för barn Act 1978, Criminal Justice Act 1988 och förebyggande av trakasserier Act 1997.

Det är också ett brott enligt brittisk lag att medvetet intrång i immateriella rättigheter, såsom upphovsrätt, patent, rättigheter databas och registrerade varumärken. Kunder påminns om att dela upphovsrättsskyddat material med hjälp av peer-to-peer-program får således utgöra ett brott om det sker utan tillstånd av rätten ägaren i fråga. WoW4 kommer att samarbeta med någon byrå eller rättighetsinnehavaren som vill hävda sin rätt i dessa frågor och WoW4 förbehåller sig rätten att återkalla tjänsten under sådana omständigheter.

Data Protection Act 1998 föreskrivs många uppgifter på en organisation som behandlar personuppgifter till tredje part. Underlåtenhet att följa många av dessa uppgifter utgör brott. Kunder som inte bara behandla personuppgifter för inhemska (inklusive fritidsbåtar) skäl påminns om sin sannolikt skyldighet att registrera sig hos Information Commissioner.

Enligt lagen om elektronisk handel (direktiv) Regulations 2002, är WoW4 i allmänhet inte riskerar att någon brottslig eller sanktionsavgift som någon brottslig handling som utförs med vår tjänst om vi inte har kännedom om dessa olagliga handlingar. Därför, om vi blir medvetna om tillförlitliga uppgifter om att en kund har utfört någon brottslig handling kommer vi att vidta förebyggande åtgärder för att dessa rättsakter att upphöra.
Överensstämmelse med utländsk rätt

Internet är global räckvidd. Följaktligen är det möjligt för alla som använder Internet för att bryta lagar främmande länder. Kunderna uppmanas därför att vidta alla rimliga åtgärder för att undvika brott mot relevanta utländska lagar.
Garantier och friskrivningar

Vår service garantier och omfattningen av vårt ansvar förklaras helt i våra allmänna villkor.

Genom att ansluta till WoW4 nätet, att kunderna går att hålla WoW4 ofarlig i händelse av ett rättsligt anspråk om våra tjänster.
Ansvarslös användning

Kunden medger att de har ett ansvar att se till att deras förbindelse inte används på ett ansvarslöst sätt. WoW4 anser oansvarig användning av de tjänster som omfattar, men inte begränsas till, skicka oönskad e-post ("spam"), försöker sig igenom säkerheten i ett 3rd party maskin och översvämningar Usenet genom att placera en enda tjänst i ett stort antal nyhetsgrupper.

I händelse av att en kunds tjänster används för något ändamål som WoW4 anser oansvarigt då WoW4 förbehålla sig rätten att avbryta tjänsten under användning undersöks i samråd med kunden. Om undersökningen framgå att tjänsten har använts oansvarigt, WoW4 förbehåller sig rätten att säga upp kundens konto med omedelbar verkan. Där det är möjligt att kunden kommer att meddelas i förväg om uppsägning.
Säkerhet och sekretess

Användarnamn och lösenord som måste hållas hemliga och inte överlämnas till någon tredje part. WoW4 måste meddelas omedelbart om de äventyras. Om en kund glömmer eller tappar bort sitt lösenord, måste de kontakta supporten för att få det ändrat.

Kunden är ansvarig för all trafik som skickas från deras server. Därför är det kundens ansvar att se till att all programvara är virus-fri och up-to-date med alla relevanta säkerhetskorrigeringar. I synnerhet serverprogramvaran körs på allmän vända hamnar, såsom e-postservrar och proxyservrar, inte får distans utnyttjas.

Om WoW4 hitta skadlig trafik som härrör från en kunds server, WoW4 har en skyldighet att våra andra kunder och peering nätverk för att vidta brådskande åtgärder för att blockera denna trafik. I många fall kan detta uppnås genom selektiv hamn blockering, men i andra fall kommer detta att innebära att koppla ur och avbryta kontot tills problemet har lösts. WoW4 förstå att i många fall en kund inte kan vara ansvarig för eller medvetna om problemet och därför WoW4 kommer att arbeta med kunden för att lösa problemet så effektivt som möjligt för att återställa normal drift.
E-post

Kunderna får inte använda WoW4 tjänster för att skicka obeställd e-post (UCE, även känt som "Skräppost"). WoW4 kommer att blockera e-tjänster för alla kunder som ertappas med att skicka sådana mail.

Kunderna kan inte "öppna e reläer". WoW4 stänger relä eller anslutning av alla kunder hittade med en mailrelä.

Opt-in e-postlistor är tillåtna, om det kan bevisas att abonnenterna har opt-in och att en lämplig opt-out-mekanismen är tillgänglig.

WoW4 förbehåller sig rätten att ta bort e-post är äldre än 60 dagar från delade e-postservrar. Det är kundens ansvar att säkerställa att post regelbundet samlas in och tas ut ur WoW4 s POP3-server. WoW4 avråder användning av POP3 alternativet att behålla e-post på servern. Om ett POP3 brevlåda innehåller en överdriven mängd mail WoW4 förbehåller oss rätten att ta bort äldre meddelanden från brevlådan för att minska dess storlek.
Hosting (delad)

Genom att ladda upp till de tjänster som kommer kunden anses ha accepterat och gått med på villkoren för användning av Web utrymme tjänst.

Kunden kommer att ansvara för innehållet på sin webbplats, inklusive att erhålla den rättsliga tillstånd för alla verk som de innehåller och se till att innehållet i dessa sidor inte bryter mot brittisk lag. WoW4 förbehåller sig rätten att utan varsel eller förklaring, för att ta bort material som inte är förenligt med denna AUP eller våra villkor, såsom material av en vuxen natur eller piratkopierad programvara.

WoW4 förbehåller sig rätten att stänga av någon eller alla av tjänsten när som helst, utan förvarning, förklaring eller belöning.

Kunderna kommer att hållas ensam ansvarig för eventuella kränkande, konfidentiell, hemlig eller annan patentskyddad material som görs tillgängligt via deras hemsida. WoW4 förbehåller oss rätten att skjuta upp alla webbplatser som innehåller sådant material. Kunderna måste vara försiktiga när de använder peer-to-peer-nätverk programvara för att säkerställa att de inte ladda ner eller överföra material som de inte har rätt att hämta eller överföra.

Användarnamn och lösenord som måste hållas hemliga och inte överlämnas till någon tredje part, med undantag av organ, till exempel Webpage formgivare, som arbetar på kundens räkning. WoW4 måste meddelas omedelbart om de äventyras. Om någon skulle få tillgång till kundens konto lösenord, kan de manipulera filer som hölls på kundens webbplats.

Kunden har ensamt ansvar för att alla uppgifter är lämpligt säkerhetskopierade. WoW4 kommer inte att hålla säkerhetskopior av kundernas webbplatser. WoW4 accepterar inget ansvar för förlust av data eller information som härrör från användning av denna tjänst.

Om konto är avstängt av någon anledning, exempelvis icke-betalning, tillgång till kundens webbplats, både för visning och ladda upp filer, kan även avbrytas.

På avsluta ett konto, kommer de relevanta data på denna webb utrymme utgå.
Hosting (dedikerade)

Genom att ladda upp till en WoW4 dedikerad server kommer kunden anses ha accepterat och gått med på villkoren för användning av Web utrymme tjänst.

Kunden kommer att ansvara för innehållet på deras server, inklusive att erhålla den rättsliga tillstånd för alla verk som de innehåller och att innehållet på servern inte bryter mot brittisk lag. WoW4 förbehåller sig rätten att utan varsel eller förklaring, för att ta bort från nätet en server som inte är förenligt med denna AUP eller våra villkor, såsom ett förvaring material av en vuxen natur eller piratkopierad programvara.

WoW4 förbehåller sig rätten att ta bort en server från nätet, om det anses orsaka överdriven belastning eller trafik, är negativt påverkar resultaten för andra servrar på nätverket, eller missbrukas av en extern enhet. Det är kundens ansvar att se till att deras skript är inte mottagliga för dessa problem.

Kunden samtycker till att inte göra reklam för deras hemsida via oönskad kommersiell e-post. WoW4 förbehåller sig rätten att avbryta ett område som har "spamvertised" när som helst.

WoW4 inte innebär kvoter för dataöverföring på dedikerade servrar. Men om en kund använder en alltför stor mängd bandbredd för dataöverföring WoW4 förbehåller oss rätten att återgå till dess villkor och införa en avgift för hög användning. Vi ber kunder som avser att använda stora mängder av bandbredd för dataöverföring till första diskutera sina krav med dedikerade Account Manager.

Kunderna kommer att hållas ensam ansvarig för eventuella kränkande, konfidentiell, hemlig eller annan patentskyddad material som görs tillgängligt via deras dedikerad server. WoW4 förbehåller sig rätten att ta bort från nätverket vilken server som innehåller sådant material. Kunderna måste vara försiktiga när de använder peer-to-peer-nätverk programvara för att säkerställa att de inte ladda ner eller överföra material som de inte har rätt att hämta eller överföra.

Användarnamn och lösenord som måste hållas hemliga och inte överlämnas till någon tredje part, med undantag av organ, till exempel Webpage formgivare, som arbetar på kundens räkning. WoW4 måste meddelas omedelbart om de äventyras. Om någon skulle få tillgång till kundens konto lösenord, kan de manipulera filer som hölls på kundens server.

Kunden är ytterst ansvarig för att deras webbplats är lämpligt säkerhetskopierade.

Om konto är avstängt av någon anledning, exempelvis icke-betalning, tillgång till servern kan avbrytas.

På avsluta ett konto, de uppgifter om den särskilda servern tas bort.
Försök till brott mot säkerheten

Varje försök att bryta mot säkerheten i någon maskin är förbjuden. Att försöka göra detta kommer att resultera i omedelbar konto avslutas och eventuella ytterligare rättsliga åtgärder. Användare kan inte köra ett program som övervakar datanät paket eller något program som äventyrar integriteten för nätverkstrafik.

Det bör noteras att alla försök att brott mot säkerheten kan leda till åtal enligt Computer Missbruk Act 1990 eller annan relevant straffrättslig lagstiftning.

Försök att kringgå tekniska kopieringsskydd och kryptering kommer troligen också att vara olagligt enligt Copyright Designs and Patents Act 1988 (med ändringar).
Icke-specifik

Kunderna kan inte montera en attack, oavsett form, mot våra system, eller något annat system. Kunderna kan inte köra un godkända e-postlistor från eller via någon av våra maskiner eller e-postservrar.

Alla IP-adresser till kunder ägs av WoW4.

När du använder en kvot-baserad tjänst, är det kundens ansvar att hålla sig inom deras användning kvot. WoW4 förbehåller sig rätten att radera filer för över kvoten användare om diskutrymme påverkar den normala driften av servern.

En WoW4 affiliate är inte berättigad att tjäna provision från produkter som köps för eget bruk, antingen genom att klicka på en banner de har släppt ut på sin egen webbplats, eller genom att klicka på någon annan webbplats WoW4 affiliate banner

På WoW Hosting Solutions T / A WoW4 Limited registrerat i England och Wales företagets nummer 6.419.064 (WoW4), är vi medvetna om vårt ansvar som en bra Internet medborgare och är avsedda att skydda rätten till integritet hos andra Internet medborgare. Vi är mycket känslig för den personliga integriteten i varje abonnenter på de listor som vi värd och kommer inte att deras namn, adress eller annan information som de har gett oss tillgång till någon annan utan abonnentens uttryckliga tillstånd. Vi kräver att varje signal innehåller ett enkelt sätt för abonnenten att ta bort sig via en uppsägningslänken. Om en mottagare samtal våra kontor och begär att få bli manuellt bort från en kunds lista kommer vi manuellt prenumerationen mottagaren från ditt konto.

WoW4 får bestämma efter eget gottfinnande om en kund är spam. Det finns ett antal faktorer WoW4 använder för att avgöra om en kund är spam, inklusive men inte begränsat till: klagomål som skickas till adresser missbruk rapport SpamCop rapporter skickade klagomål till någon av WoW4 uppströms leverantörer, och utvärdera kundens massa e-post statistik och mottagare adresser. Beslut som fattas av WoW4 personal om en kunds användning av WoW4 är slutgiltiga.

Definition av Spam

Spam är oönskad e-post skickas i bulk. All marknadsföring, information eller uppmaning som skickas till en person via e-post utan deras medgivande, om det inte finns tidigare rättsförhållande mellan avsändaren och mottagaren, är spam.

Exempel på Spam

Varje e-postmeddelande som skickas till en mottagare som tidigare hade anmält sig för att ta emot nyhetsbrev, produktinformation eller någon annan typ av massmail men senare valt ut genom att ange för avsändaren att de inte vill få ytterligare e-post, då att e-post är skräppost.

Varje e-postmeddelande som skickas till mottagare som inte har haft någon tidigare samarbete med organisationen eller inte samtyckte till att e-postas av organisationen är spam.

Varje e-postmeddelande som skickas till en mottagare utan ett sätt för en person att välja bort eller begära att framtida utskick inte skickas till dem är spam.

All e-post meddelande som inte har en giltig e-postadress i svaret till linjen är spam.

Varje e-postmeddelande som innehåller alla oriktiga eller vilseledande uppgifter är spam.

All e-post som säger att du kan tjäna £ 1000 varje vecka hemifrån är spam.

Varje e-postmeddelande som främjar en vuxen webbplats är skräppost, om inte mottagaren uttryckligen har begärt information från denna webbplats.

Varje meddelande som innehåller "ADV:", "ADV ADLT:" eller "ADV vuxen" i ämnesraden är spam.

Meddelanden som skickas till e-postadresser som har skördats bort av webbplatser, diskussionsgrupper eller andra områden av Internet är spam.

Vad är inte Spam

Ett e-postmeddelande är inte spam om mottagaren i alla fall begärt e skickas till dem från avsändaren eller avsändarens organisation.

När som helst en organisation skickar en bulk e-postmeddelande till en av sina kunder det är inte spam, förutsatt att organisationen erbjuder ett sätt för kunden att välja bort framtida utskick och att kunden inte tidigare opt-out.

Ett e-postmeddelande är inte spam när den skickas till mottagare som har accepterat att ta emot information eller erbjudanden från en partnerorganisation (så länge det finns ett tydligt opt-out).

1.Definitions

2.Interpretation

*

2,1 Rubrikerna som används i avtalet skall införas för enkelhetens skull och är inte avsedda att vara en del av inte heller att påverka innebörden eller tolkningen av någon av avtalet.

2.2 I avtalet skall maskulina omfattar femininum och neutrum, och singular inbegriper plural och tvärtom, beroende på sammanhanget skall tillåta eller kräva.

2,3 Uttrycket "person" varje individ, företag, juridisk person, ideell förening, partnerskap, regering, staten eller organ i en stat eller ett samföretag.

2,4 I händelse av en konflikt mellan några av dessa villkor och eventuella Beställningsbekräftelsen kommer konflikten lösas enligt följande prioritetsordning: dessa Villkor då Orderbekräftelsen.
*

2,5 Orden "innehåller", "innehåller", "inklusive" och "ingår" kommer att tolkas utan begränsningar om inte oförenligt med sammanhang.

2,6 Avtalet (som ändras i enlighet med dess villkor) utgör hela överenskommelsen mellan parterna avseende de frågor som behandlas i det och ersätter alla tidigare avtal och överenskommelser i förhandlingar mellan parterna.

2,7 Parterna har inte för avsikt att något av villkoren i avtalet kommer att kunna upprätthållas med stöd av avtal (tredje mans rättigheter) Act 1999 av en person som inte är part i det.

3.Service Det

3,1 Tjänsterna beskrivs eller anges på Orderbekräftelsen (s).

3,2 WoW4 kommer att använda rimliga ansträngningar för att tillhandahålla tjänster i enlighet med eventuella tidsfrister som anges på Orderbekräftelsen (s), men kommer inte vara skyldig att kunden där, med hjälp av dessa ansträngningar misslyckas att uppfylla någon tidsram.

3,3 WoW4 ansvarar inte för underlåtenhet att tillhandahålla tjänster som följer av en eventuell överträdelse av Kunden eller dess anställda, agenter eller underleverantörer i avtalet.

3,4 WoW4 kommer inte att vara skyldiga att tillhandahålla alla tjänster som inte anges på Orderbekräftelsen (s). Dessutom kan WoW4 inte tillhandahålla tjänster där klienten använder sig av särskilda system inklusive kommunikationer system som anges skriftligen av WoW4.

3,5 Villkoren i avtalet utgör hela avtalet mellan WoW4 och kunden i förhållande till de tjänster och alla andra överenskommelser, avtal, garantier, villkor, villkor eller utfästelser, vare sig uttryckliga eller underförstådda, lagstadgade eller på annat sätt, är undantagna i den utsträckning tillåtet enligt lag. Kunden får inte åberopa någon som representation eller från någon anställd hos WoW4 innan det avtal som ingåtts om inte bekräftas i avtalet.

3,6 WoW4 kan när som helst och från tid till annan förbättra, korrigera eller på annat sätt ändra alla eller någon av Tjänsterna (inklusive ersätta Programvaran och / eller utrustning med programvara eller utrustning av liknande specifikation) under förutsättning att ändringen inte väsentligt påverkar tillhandahållandet av tjänster till kunden. WoW4 skall sträva efter att ge kunden rimligt varsel av en sådan ändring, om detta är praktiskt möjligt.
*

3,7 WoW4 kommer när överenskommelse och under förutsättning att inga avgifter har förfallit till betalning, låta kunden rimlig tillgång till alla samlokaliseras server värd WoW4 som en del av tjänsterna under kontorstid. Tillträde kommer endast att beviljas till kunden om WoW4 få minst 3 arbetsdagar varsel som krävs och godtagandet av denna begäran har bekräftats skriftligen till klienten genom WoW4.
*

3,8 Utan att det påverkar dess andra rättigheter och rättsmedel, WoW4 kan efter eget gottfinnande avbryta tillhandahållandet av hela eller delar av Tjänsterna (tillfälligt eller permanent) och har inget ansvar för att tillhandahålla tjänsterna på förekomsten av någon av följande händelser:
o

3.8.1 anmälda eller oplanerat uppgradering eller underhåll av WoW4 IT-system;
o

3.8.2 problemet genom att någon behörig myndighet i ett beslut som är bindande för WoW4 som påverkar Tjänsterna;
o

3.8.3 om kunden inte betalar några avgifter eller andra belopp som tillkommer WoW4 av kunden när de förfaller;
o

3.8.4 Om en händelse inträffar och WoW4 anser detta vara lämpligt att säga upp avtalet;
o

3.8.5 om bandbredd eller datorns minne används av klienten i förhållande till de tjänster överstiger alla överenskomna eller som fastställs nivå och WoW4 bestämmer efter eget gottfinnande att uppskov är nödvändigt för att skydda alla och alla Internet-lösningar som WoW4 från tid till annan;
o

3.8.6 om storleken på ett e-post, e-postlista eller cron-jobb som används av Kunden överskrider alla överenskomna eller som fastställs storlek, nivå eller frekvens och WoW4 bestämmer efter eget gottfinnande att uppskov är nödvändigt för att skydda alla och alla Internet-lösningar som WoW4 från tid till annan, eller
o

3.8.7 fel eller brister i Client System hänskjutande men inte begränsat till hårdvara, server korruption och brott mot säkerheten.

Om WoW4 avbryts tillhandahållandet av tjänster i enlighet med paragraf 3.8.3 kommer det endast vara skyldig att återuppta bestämmelse under kontorstid och när kunden har betalat alla relevanta utestående belopp i klar fonder tillsammans med eventuella återanställning avgift (som publiceras då och då genom att WoW4) och har godtagit alla reviderade betalningsvillkor begär WoW4 (t.ex. betalning via autogiro).

3,9 Kunden förse WoW4 dem Client Material identifieras på Orderbekräftelsen (er) inom en rimlig tid med hänsyn till de skyldigheter WoW4 enligt avtalet.
*

3,10 Kunden garanterar att kunden Materialet kommer att vara korrekt i alla väsentliga avseenden och kommer inte medvetet att inkludera material som är olagligt, det tillgång till anläggningen överföring eller tillhandahålla skulle vara ett brott eller som på annat sätt olagligt eller i strid mot gällande lag eller uppförandekod som gäller för sådant material. I synnerhet Kunden garanterar att alla nödvändiga tillstånd s, tillstånd och dispenser (även från dem som äger rättigheterna, artister och andra bidragsgivare) erhålls och betalas av kunden. Utan att det påverkar ovanstående kan WoW4 vägra att använda Client material på rimliga grunder.

3,11 Kunden leverera i rätt tid all information, instruktioner, översyn och feedback som rimligen kan behövas WoW4 i samband med utförandet av sina åtaganden enligt avtalet och kommer att utse en representant som är full befogenhet och tillstånd att tillhandahålla samma.

4.Service Leverans

*

4,1 Kunden medger att med hänsyn till arten av dessa tjänster kan WoW4 inte garantera att Tjänsterna, vid leverans via Internet, kommer att vara oavbruten eller felfri.
*

4,2 Så långt som lagen tillåter och om inte annat föreskrivs i avtalet, är de olika enheterna och alla klientdatorer och anslutna system som WoW4 till kunden på ett "befintligt skick" och "som tillgängligt" basis, och inga garantier (uttryckligen eller underförstått) av något slag ges i samband med avtal, inklusive vad gäller tillfredsställande kvalitet och lämplighet för ett särskilt ändamål. Särskilt ger WoW4 inga garantier att:
o

4.2.1 Tjänsterna kommer att uppfylla kundens krav,
o

4.2.2 Tjänsterna kommer att tillhandahållas på en oavbruten, snabb, säker eller felfri grund, eller
o

4.2.3 några resultat från användning av tjänsterna kommer att vara korrekt, fullständig eller aktuell.
*

4,3 WoW4 garanterar att den kommer att tillhandahålla tjänsterna med rimlig omsorg och skicklighet och i enlighet med eventuella SLA. WoW4 ansvarar inte för ett åsidosättande av en sådan garanti om inte kunden meddelar WoW4 skriftligen om sådana fel inom 14 dagar från det att kunden fått kännedom om felet.
*

4.4 Om kunden gör anspråk gällande mot WoW4 grundat på en missuppfattning av WoW4 att uppfylla garantin anges i avsnitt 4,3 WoW4 kan, efter eget val, vidta sådana åtgärder som den anser nödvändiga för att avhjälpa sådana fel eller återbetalning om den del av Avgifter som hänför sig till sådana tjänster, förutsatt att ansvar WoW4 under sådana garanti kommer under inga omständigheter överstiga en och en fjärdedel gånger beloppet av de avgifter som betalas till WoW4 av uppdragsgivaren (exklusive moms och kostnader) under de 12 månaderna närmast före den dag då kunden gör att påståendet. Om WoW4 förenligt med denna bestämmelse, inte att ha något ytterligare ansvar för en överträdelse av dessa garantin.

5.Client statens skyldigheter

*

5,1 Kunden samtycker till att:
o

5.1.1 immediately notify WoW4 on becoming aware of any un authorised use of all or any of the Services and/or relevant part of the Client System;
o

5.1.2 not use the Services, Ancillary Systems and/or Client System or allow them to be used for any unlawful purpose or for the publication, linking to, issue or display of any unlawful material (including any pirated software or any material which is obscene, pornographic, threatening, malicious, harmful, abusive, defamatory or which breaches the rights including Intellectual Property Rights of any third party or which is or encourages criminal acts or contains any virus, worm, trojan horse or other harmful code) whether under English law or regulation, the laws or regulations of the Client's country or any other place where the results of such purpose or the material in question can be accessed;
o

5.1.3 not use the Services, Ancillary Systems and/or Client System or allow them to be used for the publication, linking to, issue or display of any material which in the absolute discretion of WoW4 may harm WoW4 or any of its Associated Companies or clients or bring WoW4 into disrepute or which calls into question any action taken by WoW4 on the Client's behalf;
o

5.1.4 not use the Services, Ancillary Systems and/or Client System or allow them to be used in breach of good Netiquette practices;
o

5.1.5 remove or prevent access to any material hosted on any of the Equipment and/or Client System which causes or is likely to cause the Client to be in breach of the Agreement;
o

5.1.6 ensure that it has all necessary consents, permissions and licence's to make use of the Services including registration and appropriate consents and approvals under the Data Protection Act 1998;
o

5.1.7 not provide any technical or other information obtained from WoW4 and/or relating to the Services to any person which the Client is aware or ought reasonably be aware may directly or indirectly lead to a breach of any law or regulation;
o

5.1.8 not, in breach of good Netiquette practices, use any service provided by any third party (including an internet web site and/or email) for the publication, linking to, issue or display of any material which refers to an internet web site hosted by WoW4 or any other products or services offered by WoW4 from time to time without WoW4's prior written consent;
o

5.1.9 se till att alla material eller data värd WoW4 på någon webbplats som drivs av kunden från tid till annan eller överföras genom sådan webbplats eller med hjälp av Client System kontrolleras för virus och annan skadlig kod och har tillräcklig säkerhetskorrigeringar tillämpas,
o

5.1.10 annat anges i någon Orderbekräftelse, vara ansvarig för att hålla regelbundna och fullständiga säkerhetskopior av allt material och de uppgifter värd WoW4 på någon webbplats eller annat system som drivs av kunden från tid till annan även kunden systemet och / eller anslutna system,
o

5.1.11 comply with any security policy notified to it from time to time by WoW4 and, in particular, ensure that all passwords and user names provided to it by WoW4 are at all times kept confidential, used properly and not disclosed to un authorised people. If the Client has any reason to believe that any password or user name has become known to someone not authorised to use it or is being or is likely to be used in an un authorised way or of any other breach of security then the Client will inform WoW4 immediately;
o

5.1.12 monitor its bandwidth in relation to the use of Services and report to WoW4 any use of bandwidth over and above those agreed or stipulated levels set out in the Order Confirmation;
o

5.1.13 be entirely liable for all activities conducted and charges incurred under its passwords and user names whether authorised by it or not and the Client acknowledges that WoW4 shall not be liable for any loss of confidentiality or for any damages arising from the Client's inability to comply with these Conditions;
o

5.1.14 not use any part of the WoW4 premises except as is reasonably necessary to inspect and maintain any co-located server hosted as part of the Services and the Client shall ensure that such server is kept in good condition and is in its original condition upon the termination of such hosting;
o

5.1.15 ensure that the Client obtains and maintains insurance over all parts of the Client System which are located on the premises of WoW4 or any of its Associated Companies and to provide evidence that such insurance is in place, upon WoW4's demand;
o

5.1.16 not, whilst present at any WoW4 premises, do anything which may be dangerous or a nuisance or inconvenience or to disturb, threaten or abuse any WoW4 personnel or other WoW4 clients and the Client shall abide by all health and safety and other policies as WoW4 may notify to the Client from time to time in relation to any such premises;
o

5.1.17 ensure that all communication details which it provides to WoW4 are at all times true, current, accurate and complete. The Client will promptly notify WoW4 of any change to such details and acknowledges that WoW4 will not be liable for any loss suffered or incurred by the Client as a result of its failure to notify such changes to WoW4; and
o

5.1.18 ensure that its systems (including the Client System) meet any minimum system specifications notified to the Client from time to time.
*

5.2 The Client acknowledges that it has appropriate knowledge of how the internet functions, the systems and products provided to it in connection with the Agreement and what types of use and content are and are not acceptable, some of which are referred to in clause 5.1.2. The Client acknowledges that WoW4 shall have no obligation to:
o

5.2.1 train the Client on its use of the Services or any Ancillary System;
o

5.2.2 manipulate any material which the Client wishes to and/or does post on any web site or other system it operates (including any Client System) or any communication which it issues or sends in connection with any Services; or
o

5.2.3 validate or vet such material for usability, legality, content or correctness.

The Client also acknowledges that the services and products provided by WoW4 are standard packages which are not tailored to specific requirements of the Client, unless confirmed in writing by WoW4 to the contrary.
*

5.3 The Client will promptly provide to WoW4 and/or its consultants, employees and agents such information and assistance as they may reasonably require in order to be able to carry out the Services and, where relevant, deliver and install any Ancillary Systems.
*

5.4 The Client will procure all necessary rights from third parties (including intellectual property licence's of computer software and website content including ring tones and music) which are from time to time required in order for WoW4 to be able legally to provide the Services.
*

5.5 If, in WoW4's opinion, the Client is in breach of the provisions of clauses 5.1.2 to 5.1.4 then WoW4 may without prejudice to its other rights and remedies immediately by written notice to the Client:
o

5.5.1 suspend provision of the Services;
o

5.5.2 terminate the Agreement; or
o

5.5.3 amend or remove any Client Materials and/or content appearing on any website or other system hosted by WoW4 on behalf of the Client (including any Client System or Ancillary System).

WoW4 may also notify appropriate public authorities (governmental or otherwise including the police or other enforcement authority) of any such breach, where it deems necessary.
*

5.6 Where as part of the Services the Client is entitled (having obtained WoW4's prior written consent) to resell the whole or any part of the Services to a third party then the Client will:
o

5.6.1 procure such third party's compliance with and acceptance of these Conditions;
o

5.6.2 be fully responsible for the acts and omissions of any such third party; and
o

5.6.3 indemnify WoW4 for any losses it suffers as a result of such acts or omissions.

6.Payment Terms

*

6.1 The Fees are payable to WoW4 subject to the following conditions:
o

6.1.1 Fees payable monthly or yearly will be paid in advance and will not be refundable in whole or part if the Agreement or relevant part is terminated during the period to which the payment relates;
o

6.1.2 any set up fee will (unless stated to be included within later payments) be payable immediately;
o

6.1.3 additional Fees will become payable if the Client exceeds agreed or stipulated bandwidth use levels.
*

6.2 Any total sum for the fees set out in an Order Confirmation is (unless stated in the Order Confirmation to be a fixed and firm amount) an estimate of the fees only and not a fixed price quotation.
*

6.3 Any sums payable by the Client to WoW4 under the Agreement are exclusive of value added tax or any similar taxes, levies or duties, which will be added to such sums and be payable by the Client at the appropriate rate.
*

6.4 The Client agrees to pay WoW4's invoices within 7 days of invoice due date. If invoices are not settled in full by then, the Client will without prejudice to its other rights and remedies (including the right to suspend the Services under clause 3.8.3) be liable to pay interest on any sum outstanding from the due date for payment at the annual rate of 2% above the base lending rate from time to time of Barclays Bank plc accruing on a daily basis until payment is made whether before or after any judgment.
*

6.5 All sums payable to WoW4 under the Agreement must be paid in full with no set off or deduction.
*

6.6 WoW4 has a general and particular lien over the Client System until all claims and money payable by the Client to WoW4 on any account whatsoever have been received in full clear funds. If the Client fails to discharge any lien within a reasonable time from the date of notice of exercise then the Client System may be sold in or towards satisfaction of that lien and WoW4 will account to the Client for any excess.
*

6.7 WoW4 may make a search in relation to the Client with a credit reference agency (and make other credit enquiries from time to time), keep a record of that search and enquiries, and share that information with third parties. WoW4 may also make enquiries about the principle directors/proprietors of the Client with a credit reference agency.
*

6.8 Where the Client authorised payment of any of the Fees by credit card then WoW4 may deduct other amounts becoming payable to it under the Agreement under that credit card without obtaining additional authorisation from the Client.
*

6.9 Without prejudice to any other of its rights and remedies, WoW4 will be entitled to remove the Client's data from its systems and any Equipment and/or put the Equipment to any use other than the Client's if any amount due under the Agreement is not paid within 21 days of its due date for payment. WoW4 is not required to back up such data or return the same to the Client prior to any such removal or following termination of the Agreement.

7.Confidential Information

*

7.1 Each party will (unless contrary to law):
o

7.1.1 keep confidential all information obtained from the other under or in connection with the Agreement (“Information”);
o

7.1.2 not disclose any Information to any third party without the prior written consent of the other except to such persons and to such extent as may be strictly necessary for the performance of the Agreement;
o

7.1.3not use any Information otherwise than for the purposes of the Agreement.
*

7.2 The provisions of clause 7.1 do not apply to Information which:
o

7.2.1 is or becomes public knowledge (otherwise than by breach of this clause); or
o

7.2.2 was in the possession of the party concerned without restriction as to its disclosure before receiving it from the disclosing party; or
o

7.2.3 is received from a third party who lawfully acquired it and who is under no obligation restricting its disclosure;

and nothing in this clause 7 prevents either party from disclosing any Information for a proper purpose to a public authority or any regulatory body, or to a court of law in the United Kingdom or elsewhere in legal proceedings, or to its senior management, its auditors, bankers, lawyers or other professional advisers.

7.3 The provisions of this clause 7 will continue to apply notwithstanding termination of the Agreement.
*

7.4 The Client, by entering into the Agreement, consents to WoW4 sending to the Client by whatever means the Company deems appropriate (whether by email or otherwise) information concerning new products and other services that WoW4 and its Associated Companies may from time to time offer.

8.Intellectual Property

*

8.1 The Client acknowledges and agrees that it will not own or acquire ownership of any Intellectual Property Rights in or relating to the Services or created in performing the Services and that it will have no rights in or to the Services other than the rights expressly granted by the Agreement.
*

8.2 The Client will indemnify and keep WoW4 indemnified from and against all costs (including the costs of enforcement), expenses, liabilities (including any tax liability), injuries, losses, damages, claims, demands, legal costs (on a full indemnity basis) and judgments which WoW4 incurs or suffers as a consequence of infringement of any Intellectual Property Right of any third party arising directly or indirectly from:
o

8.2.1 the provision by WoW4 of Services making use of information or specifications supplied by the Client;
o

8.2.2 the Client's failure to procure all necessary rights from third parties which are from time to time required in order for WoW4 to be able legally to provide the Services; or
o

8.2.3 the use by WoW4 in connection with the Agreement of the Client System and the Client Materials.
*

8.3 No Intellectual Property Rights created or acquired by WoW4 will transfer or be assigned to the Client unless WoW4 and the Client have signed a written assignment document to that effect.
*

8.4 The Client shall keep the Ancillary Systems in good condition during the continuance of the Agreement and free of all charges, liens and encumbrances and protect it from any and all judicial process.

9.Liability

*

9.1 The provisions of this clause 9 and the provisions of clauses 4 and 24 set out the entire liability of WoW4 (including any liability for the acts or omissions of its consultants, employees, agents and authorised representatives) to the Client in respect of:
o

9.1.1 any breach of the Agreement; and
o

9.1.2 any representation, statement or tortuous act or omission including negligence arising under or in connection with the Agreement.
*

9.2 Nothing in the Agreement excludes or limits the liability of WoW4 for death or personal injury caused by the negligence of WoW4, fraud or a breach of section 12 of the Sale of Goods Act 1979.
*

9.3 Subject to clauses 9.2 the total liability of WoW4 in contract, tort (including negligence or breach of statutory duty), misrepresentation or otherwise, arising in connection with the performance or contemplated performance of the Agreement is limited to:
o

9.3.1 £50,000 for loss of or damage to tangible property; and
o

9.3.2 for any other kind of loss, one and a quarter times the amount of sums paid by the Client to WoW4 pursuant to the Agreement (excluding VAT and expenses) during the preceding 12 month period.
*

9.4 WoW4 will not be liable to the Client in contract, tort, misrepresentation or otherwise (including negligence), for any indirect or consequential loss or damage, costs, expenses or other claims for consequential compensation whatsoever, or for any loss of profit, loss of business, loss of contract, depletion of goodwill or otherwise (whether direct or indirect), and whether or not caused by the negligence of WoW4 or its employees, agents or authorised representatives, which arises out of or in connection with the Agreement.
*

9.5 The Client acknowledges that the allocation of risk in the Agreement reflects the price paid for the Services and that it is not within the control of WoW4 how or for what purposes they are used.

10.Client Indemnity

The Client will fully indemnify and keep WoW4 and its Associated Companies, officers, partners, employees and agents fully indemnified from and against all actions, demands, costs (on a full indemnity basis), losses, penalties, damages, liability, claims and expenses (including legal fees) whatsoever incurred by it and arising from any of the following:

10.1 the Client's breach of the Agreement, negligence or other default;
*

10.2 the operation or break down of any IT systems owned or used by the Client including the Client System but not the Equipment; or
*

10.3 the Client's use or misuse of the Services.

11.Force Majeure

Neither party is under any liability to the other party in respect of anything which, apart from this provision, may constitute a breach of the Agreement arising by reason of force majeure which means, in relation to either party, circumstances beyond the reasonable control of that party including acts of God, acts of any governmental or supra-national authority, war or national emergency, riots, civil commotion, fire, network failure, systems fault, un authorised use or access to the IT systems of WoW4 or the Client, explosion, flood, epidemic, lock outs (whether or not by that party), strikes and other industrial disputes (in each case, whether or not relating to that party's workforce), restraints or delays affecting shipping or carriers, inability or delay in obtaining supplies of adequate or suitable materials and currency restrictions, to the extent outside of its reasonable control.
12.Term and Termination

Without prejudice to the remaining provisions of this clause 12 and any other rights and remedies available to WoW4:

*

12.1 WoW4 will provide the Services for the period of 12 months from the date of the relevant Order Confirmation or, where different, any other period of supply stated on the Order Confirmation (such period being termed the “Initial Period”) and will continue beyond that period, subject to termination by:
o

12.1.1 the Client upon serving 30 days' written notice on WoW4 following completion of WoW4's prescribed template procedures for terminating the whole or any part of the Agreement (details of which can be obtained from WoW4's Customer Services Team); or
o

12.1.2 WoW4 serving 30 days' written notice on the Client to expire at any time after the Initial Period.
*

12.2 WoW4 may immediately terminate the Agreement (or at its option, any part of it) by notice in writing to the Client if the Client fails to pay to WoW4 any sum due under the Agreement on the due date for payment.
*

12.3 Either party may terminate the Agreement (or, at its option, any part of it) forthwith by notice in writing to the other if the other party:
o

12.3.1 is in material breach of the Agreement and fails (where the breach is capable of remedy) to remedy the breach within 30 days of the receipt of a request in writing to remedy the breach, such request setting out the breach and indicating that failure to remedy the breach may result in termination of the Agreement;
o

12.3.2 becomes the subject of a voluntary arrangement under section 1 of the Insolvency Act 1986;
o

12.3.3 is unable to pay its debts within the meaning of section 123 of the Insolvency Act 1986;
o

12.3.4 has a receiver, manager, administrator or administrative receiver appointed over all or any parts of its undertaking, assets or income, has passed a resolution for its winding-up, or has a petition presented to any court for its winding-up or for an administration order; or
o

12.3.5 has ceased or threatened to cease to trade.

13.Consequences of Termination

*

13.1 Termination of the Agreement is without prejudice to the rights and duties of either party accrued prior to termination.
*

13.2 The clauses of the Agreement which expressly or impliedly have effect after termination will continue to be enforceable notwithstanding termination.
*

13.3 WoW4 may without notice remove the Client's data from its systems and any Equipment after expiry of 5 Business Days following termination. For the purposes of this clause, the date of termination will be either the date that WoW4 receives signed authorisation from the Client instructing cancellation of account or the date of expiry of notice of termination served in accordance with these Conditions.
*

13.4 Upon termination of the Agreement, the Client will forthwith:
o

13.4.1 cease to use the Software, Equipment and Services;
o

13.4.2 erase the Software from the Client System and certify to WoW4 that this has been done;
o

13.4.3 return to WoW4 any hardware or other equipment loaned to the Client in connection with the Services or any other materials and equipment owned by WoW4; and
o

13.4.4 pay all outstanding invoices raised by WoW4 pursuant to the Agreement and pay for all work in progress not previously paid for on a reasonable pro-rata basis (subject to receipt of an invoice for the same from WoW4).

13.5 In the event of termination of the Agreement by the Client part way through the Initial Period, the Client remains obliged to pay for Services comprising the provision of dedicated server hosting for the remainder of that period.
*

13.6 Where following termination, WoW4 is unable to cancel any registration of a domain name registered on behalf of the Client, it may levy a minimum charge to cover the cost of the domain registration fee.
*

13.7 Where the Client services include the purchase of licensing for software by WoW4 on behalf of the client, in the event of termination of the agreement by the client, WoW4 are unable to refund any proportion of the software and/or licensing fees incurred.

14.Severability

The illegality, invalidity or un enforceability of any provision of the Agreement will not affect the legality, validity or enforceability of the remainder. If any such provision is found by any court or competent authority to be illegal, invalid or unenforceable, the parties agree that they will substitute provisions in a form as similar to the offending provisions as is possible without thereby rendering them illegal, invalid or unenforceable.
15.Waiver

*

15.1 The failure or delay by either party in exercising any right, power or remedy of that party under the Agreement will not in any circumstances impair such right, power or remedy nor operate as a waiver of it. The single or partial exercise by either party of any right, power or remedy under the Agreement will not in any circumstances preclude any other or further exercise of it or the exercise of any other right, power or remedy.

15.2 Any waiver by either party of a breach of or default under any of the terms of the Agreement by the other party is not deemed a waiver of any subsequent breach or default and in no way affects the other terms of the Agreement.

16.Assignment and Subcontracting

The Client may not assign the benefit or delegate the burden of the Agreement nor sub-license any of its rights under the Agreement (including to its Associated Company) without the prior written consent of WoW4. Any consent provided by WoW4 under this clause is given on condition that the assignee or licensee, as the case may be, agrees to comply with the terms of the Agreement as if they were the Client. WoW4 may sub-contract or assign any or all of its rights and obligations under the Agreement.
17.Amendments

No variation or amendment to the Agreement (including any Order Confirmation) is effective unless agreed in writing and signed by an authorised representative of WoW4.
18.Notices

Any notice to be given or made by either party under or in connection with the Agreement must be in writing and given or made to the other party at its address stated in the Order Form or to such other address as either party may from time to time notify to the other. Every notice, if so addressed, is deemed to have been duly given or made, if delivered by hand, upon delivery at the address of the relevant party, if sent by prepaid first class post, two Business Days after the date of posting and if transmitted by facsimile, at the time of transmission (provided a confirmatory letter is sent by prepaid first class post) provided that, where, in accordance with the above provisions, any notice would otherwise be deemed to be given or made on a day which is not a Business Day or after 4.00 pm on a Business Day, such notice shall be deemed to be given or made at 9.00 am on the next Business Day. WoW4 may additionally serve notice on the Client under or in connection with the Agreement by email to the Client by sending an email to the contact email address stated on the Order Confirmation(s) or, in the case of a Client for whom WoW4 has registered a domain name, to webmaster@[registered domain name], and in such a case the email will be deemed sent once transmitted from WoW4's email server.
19.Applicable Law and Jurisdiction

The construction, performance and validity of the Agreement will be governed by English law and the English courts have jurisdiction to settle any disputes which may arise out of or in connection with it.
Part 2 : Ancillary Systems Supply
20.Provision of Software

20.1 In these Conditions, the following expressions will have the following meanings, unless inconsistent with the context:
*

20.2 In consideration of payment by the Client of the Fees, WoW4 will supply to the Client one copy of the Software and Third Party Software in object code form.
*

20.3 WoW4 grants to the Client the non-exclusive right to Use the Software for so long as the relevant Services continue to be provided subject to the remaining terms of these Conditions.

21.Client's Undertakings

The Client undertakes:

21.1 to maintain accurate and up-to-date records of the number and locations of all copies of the Software;
*

21.2 to take good care of the Ancillary Systems; and
*

21.3 not to provide or otherwise make available the Software in whole or in part (including program listings, object and source program listings, object code and source code) in any form to any person other than the Client's employees without the prior written consent of WoW4.

22.Copying

The Client may make only so many copies of the Software as are reasonably necessary for operational security and to Use the Software. Such copies and the media on which they are stored will remain the property of WoW4, and the Client will ensure that all such copies bear WoW4's proprietary notices. The provisions of Part 2 of these Conditions will apply to such copies as it applies to the Software.
23.Alterations

23.1 Except to the extent and in the circumstances expressly required to be permitted by WoW4 by law, the Client may not:
o

23.1.1 alter, modify, adapt or translate the whole or any part of the program listings, object and source program listings, object code or source code in the Software in any way whatsoever;
o

23.1.2 permit the whole or any part of the Software to be combined with or become incorporated in any other computer programs; or
o

23.1.3 de compile, disassemble or reverse engineer the Software;

nor attempt to do any of these things.

23.2 To the extent that the law applicable to the Agreement grants the Client the right to de compile the Software in order to obtain information necessary to render the Software interoperable with other computer programs used by the Client, WoW4 undertakes to make that information readily available to the Client. WoW4 may impose reasonable conditions (including a reasonable fee) for doing so. In order to ensure that the Client receives the appropriate information, the Client must first give to WoW4 sufficient details of the Client's objectives and the other computer programs concerned

24.Performance

24.1 The Client acknowledges that:
o

24.1.1 software in general is not error-free, and agrees that the existence of such errors will not constitute a breach of the Agreement; and
o

24.1.2 the Ancillary Systems will operate only in conjunction with the Client System and other operating systems that may be notified by WoW4 in writing from time to time.

24.2 WoW4 will use its reasonable endeavors to check the Software for the most commonly known viruses prior to delivery to the Client. However, the Client is solely responsible for virus scanning the Software and WoW4 gives no warranty that the Software will be free from viruses.
*

24.3 WoW4 warrants that (subject to the other provisions of the Agreement) the Ancillary Systems will as at delivery be free from material errors which prevent the Client's use of the Services and conform in all material respects with any applicable specification agreed in writing between the Client and WoW4. WoW4 will not be liable for a breach of this warranty:
o

24.3.1 if the error in question has been caused by any modification variation or addition to any part of the Ancillary Systems not performed by WoW4, their incorrect use by the Client, or use with or in connection with systems with which they are incompatible; or
o

24.3.2 where the Client does not notify WoW4 in writing of a failure within 14 days of becoming aware of the same.

24.4 If the Client makes a valid claim against WoW4 based on the failure by WoW4 to comply with the warranty set out in clause 24.3 WoW4 will at its option take such steps as it deems necessary to remedy such failure or refund such part of the Fees as relates to the defective Ancillary Systems.

24.5 If WoW4 complies with clause 24.4 it will have no further liability for a breach of the warranty set out in clause 24.3.

25.Third Party Software

Any Third Party Software is supplied to the Client on the basis of the relevant third party's standard licence terms provided to the Client with the relevant Third Party Software and with which the Client agrees to comply.
Part 3 – Support Services
26.Provision of Support Services

26.1 WoW4 will provide the Support Services to the Client upon the terms and conditions set out in this Part 3 and Part 1 of these Conditions.
*

26.2 WoW4 will only be obliged to provide the Support Services during Support Hours.
*

26.3 The obligation of WoW4 to provide Support Services will not extend to:
o

26.3.1 rectification of lost or corrupted data;
o

26.3.2 Ancillary Systems altered modified or varied by other than WoW4;
o

26.3.3 attendance to faults arising from the Client's failure to comply with WoW4's instructions with regard to the use of the Services or any documentation or manuals provided by WoW4, or operator error or omission; or
o

26.3.4 attendance to faults attributable to the use or interaction of an Ancillary System with other software or systems with which it is not compatible.
o

26.3.5 WoW4 will charge its standard employee charge out rates (as published from time to time by WoW4) in addition to the Fees for the carrying out any remedial work described in clauses 26.3.1 to 26.

26.4 WoW4 will use its reasonable endeavors to provide the Support Services in accordance with the SLA.
*

26.5 Scope of Support Services: WoW4 will at no additional charge to the Customer install the standard operating system Software on to the Client System or, where appropriate, the Equipment.
*

26.6 WoW4 will operate a help line service to assist the Client and its staff in relation to the Client's use of the Services and the identification and correction of Defects. Assistance via this help line service may be requested by the Client and provided by WoW4, by telephone, e-mail or helpdesk ticket system provided by WoW4. The service will be obtained by telephoning, e-mailing such numbers or addresses or logging into such ticketing systems, as are notified by WoW4 from time to time.

26.7 If a Defect occurs, the following procedure will be followed:
o

26.7.1 the Client will notify WoW4 of the Defect and provide such information and assistance as WoW4 reasonably requires in connection with such Defect; and
o

26.7.2 WoW4 will analyses the Defect and use its reasonable endeavors to rectify the Defect in question or propose a solution in connection with the same, within ten Business Days of being notified of the same under clause 26.6.

Part 4 – Domain Services
27.Service Provision

27.1 WoW4 will provide the Domain Services to the Client upon the terms and conditions set out in this Part 4 and Part 1 of these Conditions.
*

27.2 The Client undertakes and warrants to WoW4 that the registration of any domain name requested by it (a “Requested Domain”):
o

27.2.1 and the manner in which it is to be directly or indirectly used will not infringe any third party rights; and
o

27.2.2 is not being made in bad faith or could be considered to be an abusive registration under the ICANN or Nominee dispute resolution policies, whichever is appropriate.

The Client also confirms and warrants that any Requested Domain is not being registered and will at no time whatsoever be used for any unlawful purpose.

27.3 The Client acknowledges that, whilst WoW4 will use its reasonable endeavors to register a Requested Domain, WoW4 will not be obliged to accept any request to register or continue to process any registration of a Requested Domain.
*

27.4 The Domain Services are limited to forwarding the application for registration to the relevant naming authority, providing reasonable administration services in relation to the application and notifying the result of the application to the Client within a reasonable period after communication from the authority. WoW4 will use reasonable endeavors to notify the Client of any renewal dates however WoW4 accepts no liability for the loss of registration of any Requested Domain.

27.5 WoW4 makes no representations or warranties (expressed or implied) of any kind (and they are expressly disclaimed) with respect to availability or likelihood of registration of any Requested Domain. The Client acknowledges that WoW4 cannot guarantee the reservation or registration of any Requested Domain and that the registration of such domain name will be subject to any registration requirements of the appropriate registry.

27.6 The Client will check that the domain name as reported on all documents sent to the Client (such as invoices and e-mail notifications) is spelt correctly. The Client will notify WoW4 of any incorrect spellings of a Requested Domain promptly and in any event within 24 hours of receiving such document.
*

27.7 The Client will at all times comply with the terms and conditions (from time to time subsisting) applying to the registration of domain names published by the relevant naming authority (including the domain dispute resolution policy of that authority) and any other authority having similar force.
*

27.8 If the Client wishes to transfer ownership of a Requested Domain then it will procure that all necessary consents to that transfer are obtained and will deliver up to WoW4, on demand, documentary evidence of that all such consents have been obtained. The Client agrees that prior to transferring ownership of a Requested Domain to another person (the “Transferee”) the Client will procure that the Transferee agrees in writing to be bound by the terms of the Agreement. A Requested Domain will not be transferred until WoW4 receives such written assurances as it requires that the Transferee is bound by the terms of the Agreement.

27.9 WoW4 will not transfer ownership of a Requested Domain until all Fees attributable to the Domain Services which are due have been paid by the Client to WoW4.

27.10 WoW4 may from time to time change the registrar that a Requested Domain is held with, at its discretion and without notice to the Client.

27.11 The Client agrees and acknowledges that WoW4 will make registration information provided by the Client in relation to the Requested Domain available to ICANN, Nominet or any other appropriate registration authority, the registry administrators, and other third parties as applicable laws may require or permit including the police or other enforcement authority. The Client further acknowledges that WoW4 may make publicly available, or directly available to third party vendors, some, or all, of the domain name registration information provided, for purposes of inspection (such as through the WHOIS service) or other purposes as required or permitted by ICANN, Nominet and applicable law. The Client consents to any and all such disclosures, whether during or after the term of registration of the Requested Domain. The Client irrevocably waives any and all claims and causes of action arising from such disclosure or use of the domain name registration information by WoW4.

27.12WoW4 will only allow a domain name owned or managed by the Client to be attached to the ISP tag of WoW4 or any of its Associated Companies if the Client has an active hosting account with WoW4 or one of its Associated Companies
